Worcester Ro Consult (WRC) is committed to offer business consultancy and digital services, including, but not limited to business consulting and any other consultancy-based service, market research and reporting, marketing strategies, branding, website design and development, graphic design, management and business recovery plans and other business-related services aimed at setting up, growing and recovery.

Please read these terms and conditions carefully before using the services provided by Worcester Ro Consult, its partners, third parties, affiliates, suppliers, representatives and other private/public sole traders associated with the company.

1. Acceptance of Terms

By entering in a consultation session with Worcester Ro Consult, you agree to be bound by these terms and conditions. Any service, delivered as presented to you in its entirety is subject to all applicable conditions, fees and other enforceable elements in this document. By accessing or using the services provided by Worcester Ro Consult, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please refrain from using our services.

2. Service Description

Worcester Ro Consult offers business consultancy and other consultancy-based services, digital services, marketing services, with a wide range of services associated under these categories, explained thoroughly and transparently to all customers and clients, whether individuals, third parties, sole traders and/or companies. The specific details of the services, including pricing, scope, and deliverables, will be agreed upon through a separate agreement or contract, subject to the complexity of deliverables, deadlines and scope of work.

All services requiring preparation, compilation or processes before delivery are considered delivered since the moment such work is started. Should such services be cancelled, delayed or withdrawn from, Worcester Ro Consult will issue invoices of all the work carried out until the time of the action, with invoices payable up to 30 days since issued, with penalties and additional late payment fees according to the Service Level Agreement issued at the beginning of the collaboration. 

All efforts will be made by Worcester Ro Consult to deliver all services according to each agreement, following the standards of quality, mock-ups and any other client requirements, agreed at the beginning. Should such services fail to comply with initial agreements, Worcester Ro Consult will not make clients liable for any expense incurred by the company before, during and after delivery. Any changed to initial agreements, scope of work, requested services should be delivered in written format by all parties. Worcester Ro Consult will treat any changes or updates in a fair manner and circumstance-dependent.

3. Client Responsibilities

As a client of Worcester Ro Consult, you agree to provide accurate and complete information necessary for the delivery of our services. You are responsible for maintaining the confidentiality of any account credentials provided to you and for any activities or actions under your account, as well as the integrity of services delivered, their intended use and not to be shared forward, sold or for any incentives, financially or otherwise. All services are subject to discussed and agreed payment, with invoices payable from the moment such services begin (see Service Description).

All clients are responsible of notifying Worcester Ro Consult as soon as it is possible of any changes in their circumstances, additional requests and/or any further amendments to agreed services, being subject to additional charges and fees incurred, as per initial agreement. Should a service be delivered in its entirety as per initial agreement, any and/or other Worcester Ro Consult services will be subject to additional charges, new agreements with a newly defined scope of work, schedule of delivery, milestones and other characteristics put in a new service agreement and should not be treated/interpreted as an extension of previous work.

4. Intellectual Property

All intellectual property rights, including but not limited to trademarks, logos, designs, and content created or provided by Worcester Ro Consult, remain the property of Worcester Ro Consult. You may not use, reproduce, or distribute any of our intellectual property without prior written consent. Where such rights are discussed, passed over and/or transferred to the client, Worcester Ro Consult passes all responsibilities, rights and permission to the client, as well as any/all liability. Any infringement of intellectual property rights will be actioned as per UK’s applicable and enforceable legislation.

5. Confidentiality

Worcester Ro Consult respects the confidentiality of client information. Any information shared with us during the provision of our services will be kept confidential and used solely for the purpose of providing the agreed-upon services, unless required by law.

6. Limitation of Liability

Worcester Ro Consult shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising from the use of our services or inability to use our services. We strive to provide accurate and reliable information, but we do not guarantee the completeness, accuracy, or reliability of any content or materials provided.

7. Termination

Either party may terminate the agreement for services provided by Worcester Ro Consult at any time, with or without cause, upon written notice. Upon termination, any outstanding fees or obligations shall become immediately due and payable.

8. Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms and conditions or the provision of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Amendments

Worcester Ro Consult reserves the right to modify, amend, or update these terms and conditions at any time. Any changes will be effective immediately upon posting on our website and/or providing notice to clients.

By using the services provided by Worcester Ro Consult, you acknowledge and agree to these terms and conditions.
